SMALL BUSINESS ADVICE AND ASSISTANCE PROGRAMS

The Minnick Law Firm's Small Business Advice and Assistance Programs are designed and available to offer affordable professional legal advice and legal assistance to all forms of small businesses. There are two levels of participation. The first level offers professional advice and assistance regarding all labor and employment law related issues to new and existing clients. The second level offers professional business consulting, legal counseling and mentoring services to new clients interested in establishing and operating their own small businesses in Florida. The firm advises and assists clients engaged in all kinds of businesses, including business franchises, independent businesses, home-based businesses and web-based internet marketing businesses.

EMPLOYMENT LAW ADVICE

The Employment Law Advice level of participation invites new and existing small business clients to join the program and receive unlimited, free telephonic and e-mail access to the firm's attorneys, and to receive free telephonic or e-mail advice in all employment and personnel matters affecting the business. The client must agree to join the program for at least one year, and must pay the firm's annual, non-refundable retainer fee of $1,200 in full prior to receive the following legal advice, services and benefits:

  • Advice about equal employment opportunity and other related legal requirements;
  • Advice on employee hiring and promotion interviews and decisions;
  • Advice on employee discipline, including reprimands, pay cuts and demotions;
  • Advice on handling employee suspensions and termination decisions;
  • Advice on responding to unemployment compensation claims;
  • Advice on how to avoid wrongful termination claims; and
  • Discounted "family" hourly rates for preparing legal documents, and for all professional work performed in all administrative and legal matters involving legal representation, including attendance at all meetings, as may be requested by the client.

BUSINESS LAW ADVICE AND COUNSELING

Clients agreeing to join the firm's Business Law Advice and Counseling level of participation will enjoy the same benefits provided to clients under the Employment Law Advice program (listed above), plus additional unlimited telephonic or e-mail access to the firm's founding attorney, Bruce Alexander Minnick, who provides business law advice and counseling.* Clients must agree to join the Business Law Advice and Counseling program for at least one year, and must pay the firm's annual, non-refundable retainer of $3,000 in full prior to receiving the following expanded services and benefits:

All the benefits listed in the Employment Law Advice plan above, plus the following services:

  • Counseling and practical advice on the legal differences between sole proprietorships, partnerships, limited liability partnerships, limited liability corporations, professional associations, professional corporations, sub-chapter C corporations, sub-chapter S corporations, corporations for profit, corporations not for profit, homeowners and condominium associations, investment clubs, and section 501(c)(3) requirements;
  • Advice and assistance in choosing the appropriate form of business to establish, depending upon the client's short and long-term goals and objectives;
  • Advice regarding the selection of partners, officers, registered agents and members of all governing boards;
  • Advice regarding effective use of management contracts, loyalty covenants and anti-competition agreements, importance of employment policy and procedure manuals, effective use of employment contracts and valid covenants not to compete;
  • Advice regarding funding the business, including issuance of capital stock, common and preferred shares, capital notes, mortgages and all other legal forms of business financing;
  • Discounted "family" hourly rates for preparing legal documents, and for all professional work performed in all administrative and legal matters involving legal representation, including attendance at all meetings, as may be requested by the client.
